ePay End User Agreement
This End User Agreement (“Agreement”) governs the access and use of Dynamics ePay (“ePay”), a payment and transaction solution provided by Dynamics eShop Inc. (“Dynamics eShop”, “we”, “us”, or “our”). By accessing, integrating, or using ePay, you (“End User”, “Customer”, “you”) agree to be bound by the terms and conditions of this Agreement.
If you do not agree to these terms, you must not access or use ePay.
1. Scope of Agreement
This Agreement applies to all End Users who access or use ePay, including businesses, merchants, administrators, employees, contractors, and authorized representatives who use ePay to process payments, manage transactions, or access payment-related data through Dynamics eShop platforms.
2. Description of ePay Services
ePay is a secure payment solution designed to integrate with Microsoft Dynamics ERP platforms, enabling:
- Online and portal-based payment processing
- Email payment links
- In-store and remote payment acceptance
- Payment reconciliation with Dynamics ERP systems
- Transaction reporting and payment status tracking
Features may vary based on subscription, platform, region, and third-party payment provider availability.
3. Eligibility and Authorization
- You are legally authorized to enter into this Agreement
- You have authority to bind the organization you represent
- You will use ePay only for lawful business purposes
- All information provided is accurate and up to date
4. User Responsibilities
- Comply with applicable laws and PCI-DSS standards
- Maintain confidentiality of login credentials
- Restrict access to authorized users only
- Notify Dynamics eShop of any security breaches
5. Payment Processing and Third-Party Providers
ePay integrates with third-party payment gateways, processors, and financial institutions (“Payment Providers”). Dynamics eShop is not responsible for payment approvals, declines, settlement timelines, fees, or chargebacks.
6. Fees and Charges
You agree to pay all applicable subscription, transaction, processing, and government-imposed fees. Fees are non-refundable unless otherwise stated in writing.
7. Data Protection and Security
Dynamics eShop applies reasonable security measures to protect payment-related data. However, no system is completely secure. Sensitive payment information may be processed directly by Payment Providers.
8. Intellectual Property Rights
All intellectual property rights in ePay remain the property of Dynamics eShop or its licensors. You are granted a limited, non-exclusive, non-transferable right to use ePay for internal business purposes.
9. Prohibited Use
- Fraudulent or illegal activities
- Reverse engineering or system tampering
- Interfering with security or system integrity
- Processing payments for prohibited goods or services
10. Suspension and Termination
Dynamics eShop may suspend or terminate access for violations, non-payment, or regulatory requirements. Upon termination, all usage rights immediately cease.
11. Limitation of Liability
To the maximum extent permitted by law, Dynamics eShop shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid in the previous twelve (12) months.
12. Indemnification
You agree to indemnify and hold harmless Dynamics eShop from claims arising from misuse of ePay, violation of this Agreement, or non-compliance with applicable laws.
13. Modifications
Dynamics eShop may update this Agreement periodically. Continued use of ePay constitutes acceptance of the revised terms.
14. Governing Law
This Agreement shall be governed by the laws specified in your master agreement with Dynamics eShop, without regard to conflict of law principles.
